This website (the "Site") is operated by DKSH Singapore Pte. Ltd. (“DKSH”), the distributor of DexCom International, Ltd. (“Dexcom”) for the sale of Dexcom’s products in Singapore. Throughout the Site, the terms “we”, “us” and “our” refer to DKSH. Your access to and use of this Site is subject to the following terms and conditions (the "Terms and Conditions") and all applicable laws. By accessing and browsing this Site, you accept, without limitation or qualification, these Terms and Conditions and further agree to be bound by these Terms and Conditions. Please read the Terms and Conditions carefully. If you do not agree to these Terms and Conditions, please refrain from accessing, browsing, and using this Site.

We reserve the right to update, change or replace any part of these Terms and Conditions by posting updates and/or changes to the Site. It is your responsibility to check this Site and the Terms and Conditions herein regularly to keep abreast with any changes. Your continued use of or access to the Site following the posting of any changes constitutes your full acknowledgement and acceptance of those changes.

All components of these Terms and Conditions and any service level agreements entered between yourself/yourselves and DKSH shall be read together and construed, to the fullest extent possible, to be in concert with each other. To the extent that they cannot be so construed, then in the event of any direct conflict between these Terms and Conditions and the service level agreements, the Terms and Conditions will prevail strictly in regard to the terms of using this Site.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products to you.

The headings used in these Terms and Conditions are included for convenience only and will not limit or otherwise affect these Terms and Conditions.

SECTION 1 – TERMS OF USE

By agreeing to these Terms and Conditions, you represent and warrant that you are at least eighteen (18) years old.

Subject to your compliance with these Terms and Conditions, DKSH grants you a limited, non-exclusive, non-transferable, non-licensable right to access the Site and Contents herein.

All rights not expressly granted to you in these Terms and Conditions are reserved and retained by DKSH and/or its licensors, suppliers, publishers, rights holders, or other content providers. No Content, information, material, and/or any part of the Content, information, material found in this Site, may be reproduced, duplicated, copied, sold, or, resold without our express prior written consent. You shall not, without our express prior written consent, (i) co-brand this Site, (ii) frame this Site or use framing techniques to enclose any content of the Site. (iii) hyperlink to this Site, or use any meta tags or any other hidden text utilising DKSH's names or intellectual property rights. You agree to cooperate with DKSH in causing any unauthorized co-branding, framing or hyperlinking immediately to cease.

The Site may be made available to you in several different devices. You are solely responsible for providing, maintaining, and ensuring compatibility with the Site, all hardware, software, electrical, and other physical requirements for your use of the Site, including, without limitation, telecommunications and internet access connections and links, web browsers or other equipment, wearables, programs, and service required to access and use the Site.

When you use any feature or send e-mails to us, you are communicating with us electronically. DKSH will communicate with you electronically in a variety of ways, such as by e-mail, text or by posting e-mail messages or communications on the Site. You agree that all agreements, notices, disclosures and other communications that DKSH provides you electronically satisfy any legal requirement that such communications be in writing, unless mandatory applicable laws specifically require a different form of communication.

We reserve the right to refuse your access to this Site, and to terminate or suspend your access at any time as we deem fit.

You may need to register an account that is protected by a username and password that you create/designate to enhance your browsing experience and/or purchase products from the Site. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and to the extent permitted by applicable laws you agree to accept responsibility for all activities, conducts, and/or omissions that occur under your account or password. You should take all necessary steps to ensure that your password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be used in an unauthorised manner. You are responsible for ensuring that the details you provide us with are correct and complete, and for informing us of any changes to the information you have provided.

You must not use the Site: (i) in any way that causes, or is likely to cause the Site or any access to it to be interrupted, damaged or impaired in any way, or (ii) for fraudulent purposes, or in connection with a criminal offence or other unlawful activity.

We reserve the right to refuse your access to the Site or any Services or terminate your account(s) with us if your behavior gives sensible reason to do so in our opinion. This will in particular be the case if you are in breach of applicable laws, applicable contractual provisions, these Terms and Conditions, our guidelines, and/or our policies.

You understand that your information and data (excluding credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

SECTION 2 – INTELLECTUAL PROPERTY

The Site and all the information and materials included in it including the design, layout, look, appearance, graphics, organization of the contents of the Site, photographs, images, illustrations, text, fonts, video, music, sound, audio clips, logos, trademarks - whether they are registered or not, figurative or not - all other marks, service marks, brand names, trade or business names, domain names and URLs, software (“Content”) are either owned or licensed by us, and are protected by applicable copyright, trademark, patent or other intellectual property laws around the world. DKSH reserves all such rights pertaining and surrounding the Content and the intellectual property rights thereof.

Dexcom’s trademarks, brand names, and logos including but not limited to Dexcom, Dexcom Clarity, Dexcom G6, Dexcom G7 and their associated design marks, are either registered trademarks or trademarks of Dexcom, Inc.. The use of such Dexcom, Inc.’s trademarks, brand names, and logos is authorised and licensed to DKSH.

DKSH’s trademarks and trade dress may not be used in connection with any product or service that is not owned, supplied by, or distributed by DKSH, in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits DKSH.

Nothing on this Sit shall be construed as granting, by implication or otherwise, any license or right to use any trademark displayed without the express written permission of DKSH or Dexcom, Inc.

SECTION 3 – ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

While DKSH uses reasonable efforts to include accurate and up to date information on the Site (“Information”), Information may be incomplete or outdated and may contain inaccuracies or typographical errors.

DKSH reserves the right to make changes, corrections and/or improvements to the Information, and to the products and programs described in such Information, at any time without notice.

The Site may contain Information on DKSH and/or DKSH’s affiliates’ worldwide products and/or services not all of which are available in every location. A reference to a product or service on the Site does not imply that such product or service is or will be available in your location.

SECTION 4 – MODIFICATIONS TO THE PRODUCTS AND PRICES

Prices for the products are subject to changes without notice.

We reserve the right at any time to limit the quantity of products, modify the description of the products, modify the products, or discontinue the sale of certain products without notice at any time.

We shall not be liable to you or to any third-party for any limitation of quantity, modification, price change, suspension or discontinuance of the products.

SECTION 5 - PRODUCTS

Products sold through this Site are available for purchase and delivery only within Singapore. We do not accept orders for shipping outside of Singapore. Certain products may be available exclusively online through this Site. These products may have limited quantities and are subject to return or exchange only according to our Policy . Please reach out to Dexcom technical support at 8001206283 within ten (10) days upon your receipt of wrong, faulty, or defective product.

We have made every effort to display as accurately as possible the colours and images of the products that appear at the store. We cannot guarantee that your computer monitor's display of any colour will be accurate.

Any offer for any product or service made on this Site is void where prohibited.

SECTION 6 – DEXCOM SUPPORTING APPS

Dexcom supporting applications on the smart device for the products can be downloaded from App Store or Google Play as redirected from the link on the Site. The use of the supporting applications is subject to the compatibility of your electronic device and support subject to the terms and conditions as stated in the applications.

SECTION 7 - THIRD-PARTY LINKS

As DKSH and its affiliates have no control over and do not endorse any of the sites (or the products or services referenced therein) to which this Site is linked (the “Linked Sites”), and as DKSH has not reviewed any or all of the Linked Sites, you acknowledge that neither DKSH nor its affiliates are responsible for the content of any off-Site pages or any other Linked-Sites. Your linking and access to the Site, off-Site pages, Linked Sites, and/or other sites is at your own risk and without the permission of DKSH or its affiliates. By making use of any such Linked Sites, you understand that the legal statement and privacy policy of the Linked Site will apply, which may be different from those of DKSH. You also agree that neither DKSH nor its affiliates have any control over the content of the Linked Sites, and DKSH cannot assume any responsibility or shall not be held liable/accountable for material and/or information created or published by such third-party sites.

SECTION 8 - DISCLAIMER; LIMITATION OF LIABILITY

(a) THE SITE AND ALL INFORMATION, CONTENTS, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES OR FEATURES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED BY DKSH ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. DKSH MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE, THE DKSH SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE, UNLESS OTHERWISE SPECIFIED IN WRITING. (c) SUBJECT TO THE SECTION BELOW, DKSH’S AGGREGATE LIABILITY UNDER THESE TERMS AND CONDITIONS SHALL IN NO EVENT EXCEED THE PRICE OF THE PRODUCTS OR SERVICES PRUCHASED BY YOU ON THE SITE.

(d) To the maximum extent permitted by law, you also undertake that you will not claim any possible losses, damages, or compensation from DKSH or any of its affiliates, as well as from our licensors, service providers, managers or directors in any form, including but not limited to:

  • losses;
  • damages not caused by DKSH’s breach;
  • indirect losses and consequential damages;
  • Dlosses or damages arising out or resulting from the use of the Site, the Services, the Contents, any Linked Site or the inability to use the same, or in connection with any failure of performance, delay in operation and transmission, interruption, error, omission, virus or Site failure;
  • losses or damages which you may incur, including without limitation as a result of: (a) your failure to safeguard your account credentials, (b) any reliance placed by you on the accuracy and completeness of the Site, the Contents or the Information, or any changes we may make to the Site, the Services, the Information and the Content, or
  • any temporary interruption or permanent cessation in the provision of the Services.;

(e) Nothing in these Terms and Conditions limits or excludes DKSH’s liability for (i) death and personal injury caused by our fault or negligence; (ii) for fraud, fraudulent misrepresentation, and gross negligence, or (iii) for any other liability which cannot be limited or excluded by applicable law.

(f) You are responsible for evaluating the information and content obtained through the Site. By using the Site, you undertake all risks connected to the relevant use and to take full responsibility for any failure in the use, loss of data, and costs associated with all necessary services and maintenance of hardware and/or software. You further understand that DKSH cannot and does not guarantee or warrant that files available for downloading from the Site will be free of viruses, worms, Trojan horses, or other code that may manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to this Site for the reconstruction of any lost data. DKSH does not assume any responsibility or risk for your use of the Site.

(g) To the extent permitted by applicable law, you agree to indemnify DKSH, DKSH’s affiliates, and their respective directors, non-executive directors and employees against any loss, liability, claim or requirement (even if claimed by third parties) caused by your breach of these Terms and Conditions using this Site and its services, and/or your breach of these Terms and Conditions and/or any breach or your representation and warranties under these Terms and Conditions including reasonable attorney’s fees and/or any liability to third parties caused by any material and /or information transmitted by you to DKSH.

SECTION 9 – INDEMNITY

You further understand that DKSH cannot and does not guarantee or warrant that files available for downloading from the Site will be free of viruses, worms, Trojan horses, or other code that may manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to this Site for the reconstruction of any lost data. DKSH does not assume any responsibility or risk for your use of the Site.

SECTION 10 - INFORMATION YOU PROVIDE

You agree that you will not post, send, submit, publish, or transmit in connection with this Site any material that:-

  • you do not have the right to post, including proprietary material of any third party;
  • advocates illegal activity or discusses an intent to commit an illegal act;
  • is vulgar, immoral, obscene, pornographic, or indecent;
  • does not pertain directly to the Site;
  • threatens or abuses others, libels, defames, invades privacy, stalks, is obscene, pornographic, racist, abusive, harassing, threatening, or offensive;
  • seeks to exploit or harm children by exposing them to inappropriate content, asking for personally identifiable details, or otherwise;
  • infringes any intellectual property or other right of any entity or person, including violating anyone’s copyrights or trademarks or their rights of publicity;
  • violates any law or may be considered to violate any law;

  • advertises any commercial endeavor (e.g., offering for sale products or services) or otherwise engages in any commercial activity (e.g., conducting raffles or contests, displaying sponsorship banners, and/or soliciting goods or services) except as may be specifically authorized on this Site;
  • solicits funds, advertisers, or sponsors;
  • includes programs that contain viruses, worms, and/or Trojan horses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications;
  • disobeys any policy or regulations established from time to time regarding use of this Site or any networks connected to this Site; or
  • contains hyperlinks to other sites that contain content that falls within the descriptions set forth above.

DKSH reserves the right to monitor use of this Site to determine compliance with these Terms and Conditions, as well the right to remove or refuse any information for any reason. DKSH reserves the right to terminate your access to the Site at any time without notice for any reason, or no reason, whatsoever. DKSH also reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in its sole discretion. Content uploaded to the Site may be subject to posted limits on use, reproduction, and/or dissemination and you are responsible for abiding by such limitations with respect to the information and data that you submitted, including any downloaded materials. Notwithstanding these rights, you remain solely responsible for the content of your submissions under this Section 10. You acknowledge and agree that neither DKSH nor any third party that provides Content to DKSH will assume or have any liability for any action or inaction by DKSH or such third party with respect to any of your submission.

SECTION 11 - SECURITY

Any passwords used for this Site are for individual use only. You will be responsible for the security of your password. DKSH will be entitled to monitor your password and, at its discretion, require you to change it. If you use a password that DKSH considers insecure, DKSH will be entitled to require the password to be changed and/or terminate your account.

You are prohibited from using any services or facilities provided in connection with this Site to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password guessing programs, cracking tools, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, DKSH reserves the right to release your details to system administrators at other sites in order to assist them in resolving security incidents. DKSH reserves the right to investigate suspected violations of these Terms and Conditions.

DKSH reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing DKSH to disclose the identity of anyone posting any e-mail messages, or publishing or otherwise making available any materials that are believed to violate these Terms and Conditions. BY ACCEPTING THESE TERMS AND CONDITIONS YOU WAIVE AND HOLD HARMLESS DKSH FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY DKSH DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER DKSH OR LAW ENFORCEMENT AUTHORITIES.

SECTION 12 – GOVERNING LAW

These Terms and Conditions and all legal relations between you and DKSH shall be governed exclusive by the substantive laws of Singapore to the exclusion of the laws on conflict of laws and of the United Nations Convention on Contracts and the International Sale of goods (CISG) of April 11, 1980.

Any disputes arising out of or in connection with these Terms and Conditions or any legal relations between you and DKSH shall be resolved exclusively before the courts in Singapore.

SECTION 13 - SEVERABILITY

If any portion of these Terms and Conditions shall be deemed invalid, void, or for any reason unenforceable, that portion shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
